1. AGREEMENT TO TERMS
These Terms and Conditions constitute a legally binding agreement made between you (the "Client," "User," or "you") and ArizonaSC (operating as Arizona Supply Chain Solutions Inc.), a corporation registered in the Province of Ontario, Canada ("Company," "we," "us," or "our"), concerning your access to and use of ArizonaSC's website, services, products, and digital platforms.
By accessing our website at arizonasc.ca, engaging our services, or entering into any service agreement with ArizonaSC, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree, you must immediately discontinue use of our services.

ArizonaSC operates across multiple business verticals including supply chain solutions, logistics services, social media services, web development, application development, AI automation solutions, educational courses, and digital business services.
3. SERVICES & SCOPE OF WORK
ArizonaSC provides a comprehensive range of enterprise services. The specific scope of services, deliverables, timelines, pricing, and terms of engagement are defined in individual Service Agreements, Statements of Work (SOW), or Proposals issued to each Client on a project-by-project basis.
- All services are delivered in accordance with standards mutually agreed upon in writing prior to project commencement.
- ArizonaSC reserves the right to engage qualified subcontractors or partner agencies to fulfill service obligations, subject to the same confidentiality and quality standards.
- Service timelines are estimates unless explicitly defined as firm deadlines in a signed agreement.
- Any changes to agreed scope must be documented in a written Change Order and may affect timeline and pricing.
4. PAYMENT TERMS & CONDITIONS
4.1 Invoicing & Payment
All fees are invoiced in Canadian Dollars (CAD) unless otherwise agreed in writing. Payment terms are Net-15 from the invoice date unless specified otherwise. ArizonaSC reserves the right to require deposits of up to 50% before commencing work on new projects.
4.2 Late Payments
Invoices not paid within the agreed payment period are subject to a late payment fee of 2% per month (24% per annum) on outstanding balances. ArizonaSC reserves the right to suspend or terminate services for accounts with overdue balances exceeding 30 days.
4.3 Refund Policy
Refunds are assessed on a case-by-case basis. For recurring service subscriptions, cancellation must be received in writing at least 30 days prior to the next billing cycle. Educational course fees are non-refundable once course access has been granted.
5. INTELLECTUAL PROPERTY RIGHTS
Upon receipt of full payment for services rendered, ArizonaSC assigns ownership of all custom deliverables (websites, applications, content, designs) created specifically for the Client to the Client. ArizonaSC retains ownership of all pre-existing intellectual property, proprietary frameworks, tools, templates, and methodologies used in delivering services.
ArizonaSC reserves the right to display completed work in its portfolio unless the Client submits a written confidentiality request prior to project commencement. All third-party licensed assets, plugins, or libraries incorporated into deliverables remain subject to their respective license agreements.
6. PRIVACY POLICY & DATA PROTECTION
6.1 Data Collection
ArizonaSC collects and processes personal data strictly for the purposes of service delivery, client communication, invoicing, and legal compliance. We do not sell, trade, or rent personal information to third parties under any circumstances.
6.2 Data Security
We employ industry-standard security measures to protect all client data, including encrypted storage, secure access controls, and regular security audits. In the event of a data breach affecting client information, ArizonaSC will notify affected parties within 72 hours in accordance with applicable Canadian privacy legislation.
6.3 Compliance
ArizonaSC operates in compliance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Ontario privacy regulations. Clients with operations in the European Union may also request compliance with GDPR standards.
7. CONFIDENTIALITY
Both parties agree to maintain strict confidentiality of all proprietary information, business data, trade secrets, client information, pricing, and strategic plans exchanged during the course of engagement. This obligation survives termination of any service agreement for a period of five (5) years.
8. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, ArizonaSC's total liability to any Client for any claim arising from services rendered shall not exceed the total fees paid by that Client in the three (3) months preceding the claim. ArizonaSC shall not be liable for any indirect, incidental, consequential, or punitive damages regardless of the cause of action.
9. GOVERNING LAW & DISPUTE RESOLUTION
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these Terms shall first be subject to good-faith negotiation, followed by mediation if negotiation fails, before proceeding to binding arbitration in Toronto, Ontario.
10. CHANGES TO TERMS
ArizonaSC reserves the right to modify these Terms and Conditions at any time. Material changes will be communicated to active clients via email with a minimum of 30 days' notice. Continued use of our services following notification of changes constitutes acceptance of the updated Terms.
